You’re correct; although CYTR’s buyout of Innovive did not have a separately- traded CVR, it did have an earnout feature. This is the 2008 PR announcing the deal:

What’s notable about this deal is that the earnout was almost the entire value of what Innovive’s shareholders received in the deal.
