Wrong. 100% completely wrong. When one buys a company, one buys the liabilities right along with the assets. The only way GDHI could have avoided that is if Diamond had filed Bankruptcy. GDHI could have obtained an indemnity clause, but, it would still be their responsibility to pay the judgment and then try to collect from the predecessor owners.

You've just learned one reason why reverse mergers are so dangerous.
