INFRAX Systems (IFXY) to Buy Broadband Holdings and Affiliated Entities
-BSI has recently been awarded contracts by The State of Texas, AT&T, and Time Warner Cable, as well as significant wind farm and rural fiber to the home (FTTH) initiatives.
-BSI technical team's multi-disciplined expertise will augment Infrax's technical capabilities.
-Broadband Specialists' 2009 revenues exceeded $8M, with forecasted 2010 broadband and alternative energy design and construction revenues expected to substantially exceed 2009 revenues, on a standalone basis and has an over $30M backlog of committed infrastructure contracts for 2011 and beyond.
-Broadband Specialists is a fifty-five employee full-service network construction firm providing complete design, engineering and electrical collection grid construction, as well as underground and aerial communications and control systems installation for utilities and large commercial wind and solar plant developments (distributed power generation). Additionally, BSI provides cabling and technical services to major telephone companies, rural telephone companies, cooperatives and cable companies.
-Infrax anticipates significant revenue growth as a result of adding BSI's design and installation capabilities to our Secure Intelligent Energy Platform.

How does this acquisition affect Infrax Systems and what it means to our shareholders;

*Revenues -- BSI's acquisition will add an estimated, $30M in revenue to Infrax systems' topline revenue over the next two years, which does not includes the Smart Grid and the Wireless Broadband revenue contributions.
*Shareholder Equity -- BSI's acquisition will add, an estimated, $6M in shareholder equity to our balance sheet at closing, subject to the final review of our accounting firm.
*Human Resources -- BSI's acquisition will add fifty-five employees to our current staff of 12.
*Product Offerings -- With BSI, Infrax can truly offer end to end solutions to our utility customers including secure wireless and fiber deployments for metering, demand response, distributed power generation systems and distribution automation applications.
*Broader Revenue Opportunities -- This acquisition will allow combined Companies to target revenue opportunities upgrading America's aging infrastructure. The market for BSI's services can be compared to the original build outs of the electrical grid, telephone systems and the networks of interstate highways in the 1950's and 1960's. America's existing electrical, gas and water lines are aging. According to the Energy Information Administration, or "EIA", the electric utility market is one of the largest industries in North America. Globally the industry is expected to spend close to $10 trillion by 2030 to upgrade and effectuate Smart Grid technologies. In the U.S., the Federal Government forecasts that the total amount of private and public funds that will be invested in smart grid projects through a stimulus program will be $8.1 billion.

Infrax Systems Executes Technical Development Agreement With Smart Meter Manufacturer, Itron, Inc. Revolutionary "Under the Glass" Solution to Be Available First for Centron Meters From Itron
-Infrax has entered into a Technical Information License Agreement with Itron, Inc, one of the largest smart grid meter manufacturers globally.
-Itron, Inc, https://www.itron.com (ITRI) currently trading at $59.03 per share.
-The SNIC is the latest component announced for Infrax's Secure Intelligent Energy Platform. This next generation universal host interface board is an "under the glass" solution designed for use in any standards-based meter (Electric, Water, Gas). Based on a multiple processor design, the SNIC provides military grade encryption and wireless interface modules for HAN and WAN applications.
-At the conclusion of the qualification testing process, Infrax will have the ability to license the communications module to Itron, as well as sell the product as Itron compliant.
-The License Agreement grants Infrax the right to design their Secure Network Interface Card and communications module for inclusion in Itron Centron meters.

"Infrax selected Itron meters for the initial release of the Secure Network Interface Card due to their dominant position with the utilities we are working with," said Paul J. Aiello, CEO of Infrax. -Ely Kahn, former Director of Cyber-Security Policy for the National Security Staff of the Executive Office of the President, has been appointed to their Board of Advisors.
-Mr. Kahn has an extensive background in cyber-security and risk management having previously served as a Director for Cyber-Security Policy at the White House under the Obama Administration and in various roles at the Department of Homeland Security under the Bush Administration. While at the White House, he worked closely with senior leadership from the Central Intelligence Agency, the National Security Administration, the Federal Bureau of Investigation, the State Department, and the Department of Defense to develop the strategies and policies that guide our nation's cyber defenses.
-Mr. Kahn will participate at the launch of the Secure Network Interface Card (SNIC) at the DistribuTECH Conference in San Diego, February 1 - 3.

Infrax Systems (IFXY) Adds Southeast Regional Sales Office to Focus on Utility Sales Led by Successful Utility Industry Veteran
-Infrax has added a Regional Sales office in the Atlanta area to increase penetration of utilities in the Southeastern United States.
-The new sales location will focus solely on Utility sales and additional locations will be added as Infrax continues to expand its product line and sales efforts. Infrax currently maintains sales locations in St. Petersburg and Weston, Florida, as well as engineering and operations facilities in Naples and Pinellas Park, Florida.
-Glen Wood has been a successful technology sales executive for over 25 years and has a wide range of technical sales experience including wireless communications, optical switching, data and software applications, and broadband access products.

G.E.M.I.N.I. (Global Emerging Markets Intelligent Network Infrastructure) initiative.
-In addition to the Smart Grid related products being developed with INFRAX, with their Trimax product line they have found an attractive niche in the opportunities that arise from these developing countries, and has established a business model that can operate successfully in these challenging environments. Trimax products are uniquely qualified to create high performance IP networking infrastructure over large geographic areas in the most efficient and cost effective manner.
-The Abuja project in Nigeria included US$1.5 Million in equipment and infrastructure, including the NOC (Network Operating Center) and the initial Tier 1 towers that make up the structure for the backbone of the city-wide wireless broadband network. This network, which has also been outfitted with solar power for remote locations, will be used to deliver high speed internet service and low cost telephone service to the entire region. The approximate value of this phase is US$5 Million in equipment. The complete project will cover three of the four largest metropolitan areas in Nigeria and reach 60% of the 180 million people living there. The estimated value of the entire project, including CPEs (Customer Premise Equipment) is approximately US$60 million at completion.
-Infrax Networks Business Unit has received a large purchase order from another African ISP for a network deployment in Ghana. This network was designed and deployed utilizing the TMAX™ wireless broadband platform exclusive to Infrax. This first phase includes over US $750,000 in equipment and infrastructure, including both base stations and customer premise devices. This network, which has also been outfitted with our G.E.M.I.N.I. Solar solutions for reliable, autonomous, power to each base station, will be used to deliver high speed internet service and low cost telephone service to the entire region.
-Infrax Systems (IFXY) Chosen to Supply Multi-Service, Wireless Broadband Infrastructure on the Island of Bermuda. Installation Scheduled to Be Complete by March 31, 2011. The new wireless broadband infrastructure will be comprised of approximately forty-five (45) Infrax, TMAX 2000 modular base-station routers. These will be used for multiple services including surveillance camera backhaul for public safety and wireless Internet access for the residents and visitors
-Infrax is currently in discussions with numerous other operators in Africa, India, the Middle East, Latin America, and rural/underserved markets in the U.S. for additional contracts which have the potential to substantially augment the scope and scale of Trimax's broadband equipment business.
