No price manipulation involved outside of the dilutive effect of RCCH increasing the OS.

The price of this stock was manipulated.

Moving previously (and legally) released shares from the OS to the float has absolutely no effect on the pps.

As far as the company being defrauded, you are going to have a problem proving that. In these cases Gendarme and companies like them can only exist as a conduit for shady companies trying to leverage their share count without getting caught. If they don't have willing partners they don't have any market.

A case can be made (quite easily) that it was Newton who approached Gendarme and agreed to split the proceeds with them if they could manage to get his shares to the market.

You don't think the 50% discount was a coincidence do you? LOL
