FFF,

FACT:

He "supposedly" purchased the shares of Petro America from someone other than Petro America itself. So he really had no dealings with the ompany. There fore it is not Petro America's fault the did not get the proper paper work seeing as he did not purchace the shares from the company or an "Official" agent of the company.
