I understand acceleration in case of early termination, but what appears to be new language is the acknowlegement of default. As stated earlier, I believe the default element has been newly included to utimately cause a vote on the increase in the authorized shares. If what you suggest is to protect themselves regarding the sale of the company, it seems to me that they still need to increase the authorized shares in order to have teeth in any new option plan.
