re: locking up preferred Class A shares - "poison pill" is the alleged & useful intent of these preferred shares, i.e. to fend off a hostile takeover attempt.

The correct & eventual solution is to a) retire the preferred shares and b) adopt a different "poison pill" which is fair & shareholder-friendly.
