2009 plan was 10% 8.5mm shares (originally 1.7 MM adjusted for forward split)

Now it was changed to 14.5 MM shares and 15% without a shareholder vote.

....stockholder approval shall be required for any amendment that would (a) increase the total number of shares available for issuance under the Plan,....

That is a violation!
