STATEMENT OF INTEREST OF AMICUS CURIAE

This amicus brief is being respectfully submitted on behalf of over seventy equity shareholders of Spongetech Delivery Systems, Inc. to offer their perspective on the issue before the Court. For these equity holders, an overwhelming concern exists regarding the perceived conflicts of interest of the appointed trustee S. Gregory Hays. More importantly, these equity holders are alarmed by the failures of Mr. Hays and the United States Trustee to disclose to the court relevant information pertaining to Mr. Hays’ disinterestedness prior to the entry of the Order appointing him as trustee. In light of the irreparable harm that creditors and equity holders could endure from a hidden agenda, the court is urged to reconsider its approval of Mr. Hays as trustee over the debtor and appoint a party mutually acceptable to the debtor and creditors alike.
