This is where PIPE -vs- Private Placement shows the distinction-- in my experience most PIPES are written with a Registration Rights Agreement whereas PPs are not.
As a side note-- the ease to which one "qualifies" as an accredited investor, renders the use of that term and its desired safeguards useless
