I heard nothing from the SEC, except LITE Capital was shut down for a day.... ha to check up on some SEC reading? But it's starting to look like Tom is emulating the SEC... Who knows maybe Tom is the DEA?

If Tom Gaffney wants to drag us around until November, I would say forget that. I would recommend everyone with money in the Medical Marijuana Sector.... to pull it out, if you can. Invest your money in something not so speculative, and invest it in a sector where management can be trusted. Seems like all the knuckle heads running these MMJ stocks are not in it for the movement, but more for their self gains and profits.

I'm sure a hand full of us posters can run a better MMJ company then Frank & Tom, or Bruce.... everyone else. At least we would have a more trust worthy stock then all of the MMJ stocks combined. Because right now there is not one stock in this sector that we can honestly sell to our families...is there?

So Tom this your last chance, or say what believers you did have...GOODBYE.

IMAI reaches agreement in principal to acquire Organic Science for $15M

International Merchant Advisors, Inc. (PK: IMAI) www.imaiinc.com announced today that the company has reached an agreement in principal to acquire its first operating business in the clinical medical marijuana space. IMAI has agreed to acquire Organic Science, Inc. for $15 million in the restricted common stock of IMAI. Organic Science, Inc. is in the business of managing medical marijuana operations and dispensaries. The purchase price is subject to the completion of a valuation opinion by an independent third party and may be adjusted upward or downward based on the valuation received. IMAI intends to simultaneously pursue further acquisitions and licensing and development in a number of states where medical marijuana is legalized, and is allowed to be operated on a "non-profit and for profit" basis. These include California, Montana, Colorado, and New Mexico, among other opportunities currently being pursued.

John W. Flinn, President and CEO of Organic Science, Inc. said, "We are excited to become part of the publicly traded International Merchant Advisors, and look forward to accelerating our expansion program and current operations with them as our financial and business partner."



If the Medical Marijuana Sector is going to wait until November I think would be a waste..... What if there is no December, then If I were to think like a greedy MM or a dishonest CEO..... then I would have to think the play for the MMJ sector is from now until November. And if everything depends on that..... Pass good for them, Fail good for them.

But if we wait until after the vote in November, and the vote doesn't go our way then.... too bad so sad you didn't try to make some money before the vote..... And if the summer time needs a sector to gamble on .... then Medical Marijuana has to be the stocks to be invested in.

As I see it Tom Gaffney, has a few ways to make it up to HESG Shareholders.

Organic Science rolls into and reverse merges into HESG
International Merchant Advisors buys the HESG shell or Merger
Design Marketing Concepts buys the HESG shell or Merger

Which I feel he can do any of these options at any time.

2. Consideration From Acquiring Corp. after Closing . As full payment for the transfer of the Assets to Acquiring Corp. at
the Closing (the “Purchase Price” ), Parent agrees to issue to Company, after the Closing, shares of common stock of Parent calculated in

2.2 For the twelve month period ending December 31, 2009, the number of Purchase Price Shares equivalent to seven (7) times the audited EBITDA or eight-tenths (0.8) times audited gross revenues of Acquiring Corp., whichever is greater, divided by the average VWAP for the common stock of Parent during the twenty (20) trading days preceding December 31, 2009; and

2.3 For the twelve month period ending December 31, 2010, the number of Purchase Price Shares equivalent to five (5) times the audited EBITDA or six-tenths (0.6) times audited gross revenues of Acquiring Corp., whichever is greater, divided by the average VWAP for the common stock of Parent during the twenty (20) trading days preceding December 31, 2010,. The period commencing on January 1, 2008 and ending on December 31, 2010 shall be referred to herein as the “ Earn-Out Period ”. The Purchase Price Shares shall be issued within ten (10) calendar days of the date on which the Parent’s independent auditor completes its audit report on Acquiring Corp.’s financial statements for the applicable period. Parent hereby grants to Company the common stock registration rights with respect to the Purchase Price Shares as set forth in Annex I attached hereto, which is incorporated into this Agreement and made a part hereof.

2.4 In the event that Parent enters into a transaction or series of transactions during the Earnout Period that results in or would result in a change of control for Parent through a merger, consolidation or a sale or transfer of a majority of the assets of Parent to a third party Parent’s obligations under this Agreement shall be assumed by its successor in interest or the survivor in such change of control transaction, as the case may be, and, the Parties agree to equitably adjust the provisions of Section 2 or 18 of this Agreement, if necessary as a result of the change of control transaction, in order to ensure that Company receives consideration that is as nearly equivalent as is practicable (in terms of value and that is at least as marketable) to what would have been received by Company under this Agreement had Parent not undertaken the
change of control transaction.
