In a nutshell, Catus Family Investments, owned outright by the Brotherson's, received 100% of ALL ASSETS, AND ALL oustanding STOCK in MBA in exchange for; forgiving a smoke and mirrors "back rent" debt to Cactus to the tune of 300K.
