Asset Purchase Agreement dated as of June 21, 2010 (the “BIG Agreement”), and entered into an employment agreement with Eric Simon to become the CEO of the Company (the “Employment Agreement”). Contemporaneously with the appointment of Eric Simon as our CEO, Gregory D. Cohen, the Company’s current CEO, resigned as an officer but will continue to serve as a director.
