I don't think that it is a real merger when one company just takes the assets of the other and then allows the other company to just go bankrupt without assuming any of the liabilities. I am not a BK attorney but I don't think that the court is going to smile on this arrangement and that they will come to EXPO to take care of the debts left behind by BC.
