If you read you can see that 100 units were sold for $5,000 per unit for a total of $500,000. Each unit was 50,000 shares of restricted common stock (non-registered securities means that it has to be restricted pursuant to rule 144 under the Securities Act of 1933).
That also means that a total of 5,000,000 shares of restricted stock was sold for $0.10 per share. Look at the quarterly report and look at the share # before the private placement and then look at the quarterly report after the private placement. It only went up by 5,000,000 shares. Simple math and simple DD.
