Seeing behind the curtain on AEGP?

In my opinion AEGP gave us a glimpse into something with the two filings a couple months ago. Thanks to edesheim's find they revealed to us some critical information. We had not heard a thing on AEGP since 1999. Since then no one has had any knowledge as to what happened with this shell. We now do. Due to recent events it now appears Chartered Semiconductor Manufacturing Ltd., the world's third largest semiconductor foundry, had control of this shell. How do we know? There were a sequence of events that forced them to reveal this. Primary among them, they were acquired by ATIC (parent company of Global Foundries).

December 19, 2009: ATIC (parent company of Global Foundries) finalizes acquisition of Chartered Semiconductor Manufacturing Ltd. This made ATIC the sole owner of Chartered.

March 16, 2010: Form 6-K filed by newly named Globalfoundries Singapore (up until 12/29/10 was Chartered Semiconductor Manufacturing Ltd.)


Both Form 15's had the following statement. (edesheim made this catch on AEGP's form 15):

Pursuant to the requirements of the Securities Exchange Act of 1934, Chartered Semiconductor Manufacturing Ltd has caused this certification/notice to be signed on its behalf by the undersigned duly authorized person.



AEGP suddenly awakening after over 10 years of silence right when Chartered Semiconductor Manufacturing Ltd. is getting acquired is very coincidental. Not only that, but it was deregistered one day after CHRT. There is also no other Chartered Semiconductor Manufacturing Ltd. that I can find existing at all. And unless it was sold by Chartered Semiconductor prior to the acquisition it now belongs to the acquiring company, ATIC.

That is a big deal I believe because ATIC, a technology investment company, currently owns Global Foundries (the manufacturing arm of AMD) and Chartered Semiconductor Manufacturing Ltd. This will make the combined company the second largest chip manufacturer in the world. In addition, according to recent news, ATIC has continued to look for acquisition targets and looks to be rapidly expanding their portfolio companies

The question remains what Kip Eardley's role might be which I hope to explore in further posts. Does he actually own the shell now or did he simply step in here to simply get the shell in order. Either way, in the end, I am keeping this company on close watch, because if ATIC did indeed acquire the AEGP shell and decided they were going to do something with it you can imagine the potential. With a float of ~2 million, an O/S ~ 7 million and an A/S ~ 21 million, it would make an R/S very, very unlikely and any R/M could shoot these stock to the multi-dollar level. Incredibly attractive share structure plus potential blockbuster shell owner means big things, at least to me.
