INTRODUCTION

The Corporation's history began in July 1997 when initial exploration work on a parcel of land situate between Clode Sound and Goose Bay on the island of Newfoundland was carried out by Ken Stead, who was a prospector at the time. Mr. Stead then joined forces with an associate of his, Glen McKay, and together they incorporated Cornerstone Resources Inc. (CRI) in July of 1997.

During July 1999 the management incorporated Cornerstone Capital Resources Inc. (CCRI) under the Junior Capital Pool legislation on the then Alberta stock exchange (now CDNX) (symbol CTP) and raised $300,000 from the sale of shares to 300 Alberta investors. The objectives were to use CCRI as a vehicle whereby the shareholders of CRI could have their shares listed on a stock exchange, and to raise investment capital.

On July 24, 2000 the annual general meeting of CCRI approved the take over of CRI and on August 18, 2000 the shareholders of CRI accepted the take over bid. All shareholders of CRI become shareholders of CCRI on a one for one share exchange basis after completion of a stock split in CRI.

Cornerstone Resources Inc. (CRI) is a mineral exploration company engaged in the acquisition and evaluation of various precious and basic metals, industrial minerals and rare earth elements in Newfoundland and Labrador, Canada.
