Purchase price: 12.5 cents per share

Warrants: Two million share purchase warrants to purchase two million shares

Warrant exercise price: 20 cents for a one-year period

No. of placees: One placee

Finder's fee: $35,000 in cash payable to I.I.F. S.A., Societe Anonyme, Luxembourg
