there is a distinction between OS the stock outstanding and the float. the OS represents all stock issued by the company. the float is all stock cleared in DTC, people that hold certs are not incuded in the float

No. Cert holders' stock is part of the float. The o/s is, as you say, the amount of stock that's been issued by the company. The float is the o/s minus restricted stock.
