Analyzing a reverse merger:

Sonus Pharmaceuticals + OncoGenex Technologies = OncoGenex Pharmaceuticals

Current Ticker Symbol: OGXI

March 28, 2008 - Sonus Pharmaceuticals and OncoGenex Technologies announce merger.

June 12, 2008 - Sonus announces shareholder meeting to vote on:
1. Approval of stock arrangement, were OncoGenex shareholders will receive Sonus stock.
2, Election of 5 new Board of Directors
3. Approval of name change.
4. Approval of reverse stock split.

August 20, 2008 - shareholders have already approved everything and the company changes it's name to OncoGenex Pharmaceuticals. 18 to 1 reverse split.

August 21, 2008 - The company has officially merged.

In this situation Sonus Pharmaceuticals acquired OncoGenex Technologies through a reverse merger(share exchange) and formed a new company.

So far with IAO they have announced a new CEO, Board of directors, and a reverse split. They have yet to announce a merger, name change, or share agreement.

When will they announce a merger? Do they have to include a vote for a share exchange in the proxy? Does reverse mergers always result in a name change?

Bernie, RJ, anybody.

Please comment on what you expect will happen prior to the shareholder meeting? What sequence of events do you think will happen over the next month before the shareholder meeting.

Thanks,
Charles
