Actually, the lawyer says he did NOT write or sign the opinion letters allowing restricted stock to have been sold on the open market illegally. The magic letters with forged signature somehow appeared at the transfer agent and the insiders' restricted shares were thought by the transfer agent (relying on forged letters) to be unrestricted, free-trading shares.

Now who would have had the motive to forge the opinion letters ...hmmmmm..... the holders of the restricted stock or the insider(s) who would benefit directly or indirectly from the bogus letters.
