Without a deal of some kind prior to the vote, I don't see how shareholders will vote yes on further share dilution, whether they are PIPE shareholders, institutional shareholders or retail investors. It's in none of our interests.
This suggests two possibilities: cor is very close to the deal that would allow them to get this to get voted in, or cor management is totally desperate and inept. If the former (depending on the details of the deal) we may be ok, since increasing the pool of shares in the context of a strong partnership may be a good thing. If the latter, I don't think they will get shareholder aproval. If they try and fail at this, their credibility will be further damaged, and they will effectively be out of bullets.
