I'm not going to give specifics, but I'll just tell you this:

It used to happen all the time in banking. For the average small bank (stock probably not listed anywhere, but traded, as we used to say, "over the counter" or not at all) the formula was to give the minority holders 2/3 of book value and the majority holders 1 1/3 to 1 1/2 times book. The situation became so abusive where I live that it was finally addressed in statute law. Even though the particular circumstance no longer applies here, the lessons learned so painfully are not quickly forgotten, nor should they be.
