With an open TA, investors feel comfortable about the share structure. With a gagged TA, investors aren't as comfortable, as they fear dilution will happen because the share structure cannot be verified.

FTCH came straight out and said 2M shares were sold. 99% of other pink sheet companies wouldn't do that. This company is a rare breed...
