Direct vs indirect wholly-owned subsidiaries...FYI
A "direct" ownership is obvious where a parent company directly owns shares of the subsidiary. So, for example, 2 companies, A and Z , Company A owns shares of Company Z.
But "indirect" ownership would be where a company owns shares of another (1 or more) company and that company owns shares of the subsidiary. For example, 3 companies, A, Y and Z: Company A owns all shares of Company Y which owns all of the shares of Company Z. This would be an indirect whole ownership of Company Z by Company A. (Company Z is directly owned by Company Y.)
As we know, Shenzhen Hua Yin Guaranty and Investment Limited Liability Corporation is a wholly-owned indirect subsidiary of chfi.ob.
So... I haven't had time to check but I'm betting that from 1 to 3 of the companies, Top King Group Limited,Billion Gold Group Limited and Topgood International Limited, that received the 21 million shares are owned by chfi.ob. (And they are the "Company Y" from the above example).
(Some deal could have been made for an outside company to get in too and it could be some other variation on the above.)
It's not real easy to know who owns what when they use these "Limited" companies all of the time in China. I'm guessing those 3 companies could be involved in other ventures and we wouldn't know if we only were keeping an eye out for chfi.ob and Hua Yin.
Now, FWIW, if you look at the 8k for BioPharm Asia, http://biz.yahoo.com/e/090508/domr.ob8-k.html , you see a number of entities, including several "Limited" companies, involved in the merger. Any of these could be owned by chfi.ob. We don't know if at all but notice that in the gfre.ob news 2 of the Limited companies have "Top" in their names; Top King and Topgood. Is it just a coincidence that the DOMR.ob merger includes "Top Goal Technology Limited" as one of the new shareholders. (see paragraphs 1 and 2 in the 8k)
So...maybe a coincidence and not related or... maybe a new entity set up and owned by chfi or Hua Yin (doesn't matter to us) and, if so, we chfi shareholders would have a serious position in BioPharm Asia (domr.ob).
Right now, after this limited DD, I'm WAG'ing we do.
I would appreciate if someone looks into this and needs to correct me if I'm off base.
No matter what, this is pretty interesting and looking forward to this week. The N-Q could be a dud but it also, if I'm onto something in this post, it could be explosive. (Possibly 21 million more shares of GFRE.OB to be announced and possibly a significant position in DOMR.OB even though it reversed merged after Q1 in April.)
