DNA/Roche - I think this is a very smart move. The Genentech "special committee" was surely more aptly titled "delay committee" with the goal to protract and delay all negotiations at least until the Avastin adjuvant CRC results (or perhaps indefinitely). Roche have used this more aggressive approach with uncooperative boards before quite successfully (eg. recently with VMSI) and although, IMO, they are ultimately very likely to sweeten the current bid, they believe this approach will still be less than negotiating directly with DNA. And I suspect they are right.
