I have not had a return answer to my 11/29 email. I believe he side-stepped some of my questions in his first response. Investor confidence remains the key imo and he has not established that yet...

Mr. Marek, thanks for your prompt reply. I hope you had a nice Thanksgiving holiday. My thoughts are that you probably would like the BCND stock price to be higher. Otherwise you would not have issued so many positive press releases recently. I am aware that you have no control over the market makers and I understand you do not target short term stock flippers.

It is good to hear that you do not engage stock promoters. It is also good to hear that you stay current with the T/A. I believe transparency is critical to shareholder confidence. And I believe shareholder confidence is critical to achieving fair value for the company's stock.

During the price spike at the end of August there were about 1.25 billion shares traded over the span of a few days. There has been only one good volume day (almost 200M shares) following the fantastic news about Dominion that was recently released, then low volume. The reason for the low volume can only be attributed to a lack of shareholder confidence. With today's share structure, only a $1M cash infusion from Dominion would equate to $.0004/share alone. If investors were confident about the information presented there is no way market makers could manipulate and hold it down. There also does not appear to have been enough volume to think shorting may be an issue.

There are several shareholders, including myself, that feel the stock is significantly undervalued. I hope you can release tangible, verifiable information in the near future that can support our feelings. I have held this stock for several months, through a couple of spikes. Flippers will always be out there. My hope is that we can leave them behind.

I also hope to hear how you will follow-through on your earlier comments to reduce the outstanding share count. I guess my biggest concern at this point is still the 200 million outstanding share increase in late October. That was almost 10% of the common at a price that undervalues the company. I would much prefer to see something like a rights offering to current shareholders as opposed to simple dilution. I would also hope that a cash infusion from Dominion would at least prevent further dilution if not also, fund some stock reduction.

I look forward to additional shareholder communications.

Regards,

Hello xxx:

Regulation FD prohibits me from releasing material information to a single shareholder relating to non-public transactions. This would include share transactions, future share transactions, plans for media releases, or potential investor awareness campaigns (except to say that our company does not engage in any form of stock promotion).

However, I can tell you that all shares released by us are issued through the transfer agent. There is no way to have shares issued without the transfer agent having knowledge. Further, just because shares have been issued does not necessarily mean that the holder of the shares chose to sell the shares.

With respect to trading patterns of the stock, the company maintains no control over it or the market makers that deal in the stock. The company has no contact with any shareholders that may choose to buy or sell shares, has no nominees selling shares, and cannot influence the pricing or movement of the stock in any way. Factors that influence market activity include the demand for the stock, the actions of the market makers, short selling activity, rapid selling by short term investors, and the general economic climate -- all matters that we cannot control. We hope that recent FINRA regulations regarding brokers trading for their own accounts will curtail certain negative trading patterns and allow retail customers to have their orders displayed, we have yet to see any impact or change by the market makers. If you suspect your broker-dealer of not displaying customer orders first, it is imperative that complaints be submitted to FINRA.

Our primary concern is creating a working business model that brings in revenues to the company, not the immediate short-term pricing of our stock. While we certainly want our shareholder to have fairly priced shares, our goal is not the short term or investors looking to use our stock as a short term revenue producing vehicle.

I appreciate your interest in BCND.

Adam Marek, President
Beacon Redevelopment Industrial Corp.

I have not had a reply to my questions. I own several millions of shares of
BCND across my brokerage accounts. In my mid-November email to you I was
concerned about why the outstanding share count increased by 200 million
during the last 2 weeks of October. It seemed to contradict previous
statements by Mr. Marek. It appeared that we wouldn't have received fair
value for those shares given so many positive developments. I would still
like to know why that increase was necessary.

Also, the current trading pattern for BCND makes no sense given those
positive company developments. I have monitored the T/A numbers which does
not reflect any additional increase in O/S since November. Have all of the
shares issued by the company been reported to the T/A?

It would appear that the market does not believe the positive news that has
recently been released if share count has not increased. I would appreciate
any explanation you have on current trading patterns. Also, what plans do
you have to gain market credibility?

Regards,
