A fellow investor recently received
this email from Steve Haag.

XXXX,

Good to hear from you.

I in no way mean to be flippant, but the company works aggressively everyday to grow shareholder value. We, of course, cannot directly manipulate the price. But, I am happy to report that our efforts have grown a formerly $8.8 Million company in just 21 months to many times that this year. This is the best way to "stop the bleeding" in my opinion. However, in this uncertain economic climate, I believe that healthy operating companies have the best chance to return shareholder value - JMHO - and I believe Deep Down is one of them.

The company will announce when the registration statement becomes effective. It is quite normal for a registration statement to take months; and I have seen as much as six to eight months in the past. It is entirely up to the SEC. This SEC mandated process is done for the protection of the current as well as the new shareholders.

So, I would not say that there is, so far, anything unusual about the process or the current time frame. The SEC does not give an ETA, it is a "living" process and the SEC can be quite meticulous.

The company has also continued to announce significant events during the registration period.

Please let me know if there is anything further I can do for you.

Best regards,

Steven M. Haag
