Item 4. Submission of Matters to a Vote of Security
Holders.
On August 11, 2000, the Company had a vote of Security
Holders which approved the amendment of the Certificate of
Incorporation of the Company to increase the authorized
common shares from 150,000,000 to 1,000,000,000.
