The recording of the Deed for the Project may be indeed a function of the agreement to purchase. Perhaps the entities are in a to be formed joint venture to develop, there can be many "subject to" clauses in such an agreement, such as "demo" "contingent financing" "etc" "etc". I think the way he has structured this is appropriate for this type of development project, once we get past the proposed clearing of the subject properties (contractual agreements to clear) the agreement to close on the purchase will occur, perhaps subject to the proposed development plan. Then seller can be taken out and recording can occur.
