According to SEC regs, a broker must make arrangements to borrow shares in order to allow a trader to take a short position against your stock.

By placing a AON sell order, the broker may see your shares as being unavailable for loaning out to the short trader. If your AON sell order has a sell price set too high, the broker will see that as unrealistic, and will loan out your shares anyway.
