Filing on Sunbiz.org Florida SOS change of control just hit on 7/30/08 for OSCR.PK. New CEO is multi-millionaire Robert Rubin. The same Robert Rubin who sold one of his earlier companies Lifetime Health to Olsten for One Billion Dollars. Before he sold it Lifetime Health traded on NYSE.

So we have a a Super wealthy former NYSE CEO who sold his old company Lifetime Health for a Billion Dollars and who just purchased OSCR.PK shell. Incredible list of Public Companies Robert Rubin has had his hands on. Most are NYSE, NAZ or otcbb, can't find another pinksheet Rubin has owned. All his other deals are trading for much higher.


Filing just hit sunbiz for OSCR filed 7/30/08.....Two year lock up of all insiders shares. Stock must be 50 cents or higher or they can't convert their shares. Huge list of investors who are behind this deal listed in the filing. This is the greatest filing I've ever seen a pinkie make. They have to hold for two years without selling, have to get this over 50 cents to get shares. This is how you do it right. They would need to get it much higher than .50. If it was right at .50 every time the stock down ticked under .50 they couldn't convert anymore, so OSCR trading much higher than .50 was my thinking.

From the 7/30 filing if they sell the entire company they can convert their shares and make a fortune before the two years is up. That's what I'm looking for here btw Robert Rubin to craft some mergers rolled into OSCR build the value up and sell the company for $3.00-$5.00 long before those two years ever happen. Building up companies and selling them is what Robert Rubin does best.

OSCR CEO Robert Rubin sold one company for a billion dollars and gets nothing here unless OSCR share price goes over .50. Plus he locked up all his shares for two years as a sign of good faith. Sounds like a pretty awesome play to me. The real beauty is the float is so tiny don't need the whole world to see what I see.

He keeps creating new companies and selling them for tons of money. Amazing how so many of his companies end up with the word billion in them. He has a long list of amazing accomplishments and OSCR will be added to that list one day.

Looking like a no brainer to me with those exact address matches. He showed us he plans to take OSCR stock price much higher with that 7/30 filing and that's good enough for me to ride along.

Pretty rare in this shell hunting game you get such a perfect match like this. Even rarer to end up with a CEO with the credentials R. Rubin has.

British publisher Pearson PLC says it has agreed to acquire Software Toolworks Inc. (Novato, CA) for $14.75 per share in cash, or $430.1 million for all of Software's 29.16 million common shares outstanding. Software Toolworks' stock price rose 43.8%, from $10.00 per share to $14.375 per share, at the announcement.

Pearson says this acquisition will provide it with an entry into the entertainment and educational software markets. The company also sees Software Toolworks as the vehicle through which it will deliver electronically the same information it currently delivers through newspapers and books.

The company's best-selling software products, for use on personal computers, include Chessmaster, Mavis Beacon Teaches Typing, and Twist and Shout.

The company recently completed the acquisition of Mindscape Inc., a distributor of entertainment software for Nintendo entertainment systems and other personal computers. There are some 20 million Nintendo sets installed in this country, and Software Toolworks will now be among the 40-or-so companies in the fragmented market that creates software for use on Nintendo.

The Software Toolworks Inc., a maker of computer games and educational software, last week completed its acquisition of Mindscape Inc. and will split its stock 2-for-1 in April.

Mindscape, a Northbrook, Ill.-based game cartridge distributor for Nintendo Entertainment Systems, will increase the annual revenues of Software Toolworks from about $18 million to company estimates of $60 million a year, the company said.


Robert Rubin is not the type of CEO we usually get on the pinks. This is a NYSE kinda guy. Proven winner time and time again. He's the real draw here coupled with the extremely small float imho. Ultimately somewhere down the road Robert Rubin's people most likely will come in here and start buying up the float imho.

What happens if the longs buy up the float and there are no shares left for sale on a stock. The bid would keep getting higher until someone sells. If no one had any sell orders entered in the system and the market makers ran out of shares there would be a bid and no ask showing.

Robert M. Rubin served as Founder, President and Chief Executive Officer of Lifetime Health, the largest home healthcare company in the U.S. from 1976 to 1987. Lifetime Health was listed on the New York Stock Exchange and was purchased by Olsten in 1993 for one billion dollars. Subsequently, Mr. Rubin has funded numerous companies in the home healthcare field including Metromedia Fibro-optics, Orthopedic Technologies and Stat Health. He is an investor and shareholder in numerous companies.

Here is a run down of all the public companies Rubin has either controlled or been a director for. Incredible experience and nice success rate with public companies. Robert Rubin reminds me of Dr. Frost MD who sold IVAX for a billion dollars. Frost and Rubin two guys who each sold a company for a fortune and now put that money to work building a slew of other public companies. The one certainty in my mind is OSCR won't be trading in the pennies for long.

Before yesterdays trading in all of 2008 OSCR only had 500k total shares traded.
In all of 2007 1.1 million, total shares traded...In 2006 600k, total shares traded. In 2005 100k total shares traded...this is one thin stock imho.

Key Points: all the positive info on OSCR came from SEC filings and the Florida Secretary of State so we know the sources are reliable.

Past Rubin Deals: He only did a 1 for 1.6 R/S on SLTN that's tiny. MITD a shell he held for 30 days before selling it, he did a 1 for 21 Forward split right before he sold that shell. OTMI no reverse split after Rubin took this one over. In fact except for that microscopic 1 for 1.6 R/S on SLTN every deal Rubin ever did had no reverse split or did a forward split.

Here's the only other past deal I could find that Jabro was in. Now I can't find the date Jabro got involved with UDSG. But I found a PR saying UDSG had paid off the last of the money they owed Jabro June 2007. So I looked back before June 2007 at UDSG chart. I figured Jabro was in UDSG until June 2007. Unreal run UDSG had while Jabro was still behind them. Went up 1300% while Jabro was in the deal. Another proven winner involved with OSCR.

Closing Thoughts on OSCR
I'm enjoying digging on this play more than most. Every time I dig a little deeper I find more buried treasure. Another filing could hit sunbiz at anytime expanding the BOD or changing the name of OSCR to whatever new company will be

I have a feeling we'll see two more sets of filing updates on sunbiz before that.

Update one will add some heavy hitters to OSCR Board of Directors and remove guy they bought the shell from.

Second filing update we could see would be a name change giving us the name of the Company reverse merging in to OSCR. '

Now with MITD Robert Rubin bought and sold that shell in under 30 days. He was in there just long enough to craft a deal, do a 1 for 21 Forward split and sell the shell.

Now with OSCR after seeing that list of investors that took part in the private placement, I think with OSCR Rubin is planning to stick around and build us up into something huge.

Another very important and positive thing here. Robert Rubin has shown a successful history of bringing in non-ihub buying into his plays. We just got lucky and figured out he took over OSCR before main stream investors have any idea.

This could be the play where people find out what really happens when an entire float gets bought up and taken out of circulation. OSCR's the perfect candidate to find out, small float with powerhouse back story driving the stock price. Robert Rubin not the type of CEO we usually get on the pinks. This is a NYSE kinda guy. Proven winner time and time again. He's the real draw here coupled with the extremely small float imho.
