Well well well.. I'm glad i sold some yesterday at .025.. but wish I sold more. Still, I will keep the 110k that remains, soon to be 1294 shares, rather than sell for nothing. What's disappointing is that our reasoning was sound; it is a clean shell with a low o/s, this is unexpected. Anyway, it's not over. Looks to me like he was advised to do this. 1- will be a Delaware Corporation. 2- will have a much higher price near 1.00 for the Newco to start with. 3- name change to Dover Glen, Inc. (he must have been advised to this, to avoid past association with Voxel) I will hold and hope that the RM is with a large company and that the reason for the RS is for a fast listing on Nasdaq or AMEX/NYSE. There will be no shares remaining after the 1/85, so there should be miniscule selling; I expect the pps after RS share adjustment to hold well before the RM.
REASONS FOR THE REVERSE SPLIT
In approving the reverse split, the board of directors considered that the Company's common stock may not appeal to brokerage firms that are reluctant to recommend lower priced securities to their clients. Investors may also be dissuaded from purchasing lower priced stocks because the brokerage commissions, as a percentage of the total transaction, tend to be higher for such stocks. Moreover, the analysts at many brokerage firms do not monitor the trading activity or otherwise provide coverage of lower priced stocks. The board of directors also believes that most investment funds are reluctant to invest in lower priced stocks.
The board of directors proposed the reverse split as one method to attract investors and business opportunities in the Company. The Company believes that the reverse split may improve the price level of the Company's common stock and that this higher share price could help generate additional interest in the Company.
