From my experience at Genentech, i would characterize it differently and maybe that's why it has been the most successful company in botech or pharma over the past 10 yrs.

my characterization is based on mmy releatvie experiecne in 6 R& D organizations over 15 yrs. I was at Genentech for 6 of those

at DNA, I would say there were:
1) the best and most credible executive team with a clear strategy and direct and honest communication to employees
2) 70% highly capable people (A players)
3) 20% very good people (B to B+ players)
4) 10% C players and they usually were ground out in less than 1-2 yrs

your characterization might apply to an average organization, but IMHO, not to DNA.

regarding another statement of yours .......

"Finally, motivated individuals to start their own businesses will do it regardless of Genentech staying independent or being consumed by Roche."

I have to wholeheartedly disagree. While some motivated indivuals are already doing this, i think the number will grow exponentially as a result of this takeover. Genentech was a really special place. TOp 10 best places to work for for 8 years ina row on Forbe's list and consistenly voted as top place to work for science. kost people there do not want to work for "big pharma"
