Corporation laws in the various states conform to the Model Business Corporation Act. If Nevada allows certain powers to a Corporation, that power is rooted in the MBCA. By-laws must be legal and written to conform with the Articles of Incorporation.
Yes, Nevada is Corporation friendly but the least Corporation restrictive in the nation is Delaware. That, along with some tax benefits, is why there are so many companies incorporated in Delaware.
The most shareholder protective is likely D.C.
