Nashville Records Finalizing TriMark(TM) Presentation, Gains Approval for Share Dividend
NASHVILLE, TN today issued an update to shareholders, noting that the final touches are near completion for the TriMark(TM) presentation to investors, now scheduled for May 29. Gene Sibbett, President, noted, "The formal presentation includes video demonstration and we expect formal agreements will be initiated shortly thereafter, to provide the necessary financing to put this exciting technology into full development." Interest has been high amongst both music and movie industry contacts, including another letter of intent promised from a Nashville label and an Academy award-winning Hollywood Production Company and we will release this information when finalized.
Mr. Sibbett also stated, "Access to some of the presentation will be available to shareholders on the 29th via the Internet, once we activate the new TriMark(TM) website at: www.trimarktechnologies.com." At this point this website will be informational only, as a means for investors and associates to get information.
Sibbett further commented, "The management team has reached unanimous agreement to support the planned shareholder stock dividend, with a July 15, 2008 pay date. NSHV is in the process of changing transfer agents who is familiar with this type of dividend, and who has indicated that no problems are expected in meeting our desired payout date. Shareholders are reminded that they will receive one additional share of NSHV stock for each ten they own, as of the dividend date."
In conjunction with this, Mr. Sibbett added, "NSHV shareholders will also receive an equity position in TriMark when it becomes a publicly traded company later this year. Specifics are still being discussed with interested investors, but we expect that NSHV shareholders will be provided the bulk of the float via a spin-off share dividend."
"In an effort to provide improved transparency to its shareholders, NSHV has also begun negotiations with an auditor and market maker, so that we can apply for OTCBB status by early 2009," Mr. Sibbett added. "We are compiling the documentation necessary to complete this goal as quickly as possible in the coming year."
Addressing shareholder questions that have come to light since the last news release, Sibbett closed his comments by stating, "Our QuestPay project will remain the ownership of Nashville Records. However, TriMark will utilize its service once fully operational. We are also happy to announce that Jason Perkins' second single is slated for release next month, and that his first album will be introduced early 2009. A new producer has been brought in for this specific purpose."
