That is the point you are missing, Aero does not have the cash, so in order to pay cash, shares have to be sold. Shares sold are done so at a discount which is typical for penny stocks. If shares were not sold then perhaps Aero got a loan, which will later turn into shares. It makes not a lick of difference.
