I had one stock where the ceo held Class A shares...
He converted his common shares to Class A shares which were exempt from future r/s. He then did a large r/s and converted his Class A back to common shares about 6 months later. His shares were protected from the r/s. The company is called Informed Worldwide and still trades, I think.
