easy. You're getting a new company...
In a R/S you get fewer shares in the old company. In a reverse merger with reduction in shares you get fewer shares than previously held BUT you get shares in a new company which has greater potential and value than the old company. That's the point. Postenital value is increased.



RS and reduction in shares = same thing
