He won't why does the PPS matter to Tom? Of course any CEO wants a high PPS, but this isn't a regular exchange or a regular company.
Tom's first and foremost responsibility is to the company which needs cash. Equity in the form of shares is how he will fund the ongoing acquisitions and operations which is very bad for the common shareholder not for the company.
Tom can always R/S this if the PPS get's to low and then he will have a high PPS and have the company fully funded again to the demise of the common shareholder.
