In connection with the Purchase Agreement, Titan also entered into a registration rights agreement with YA Global (the "Registration Rights Agreement") providing for the filing of a registration statement (the "Registration Statement") with the Securities and Exchange Commission registering at least 4,600,000 shares of common stock issuable upon conversion of the Debentures

December 17, 2007 is d-day...its agreement to file the Registration Statement with the Securities and Exchange Commission no later than December 17, 2007
