This is the way it works:
Shell operators/sellers/brokers search around for companies that have not kept their filings up to date.
When they find one (like ZIPL for example) they petition a court to have themselves appointed receiver or trustee of the "abandoned" corporation.
Each State has its own rules about how this process is to take place, sometime it does not work out. Zachs appears to have gotten lucky and he may still have his shell.
Zachs does not understand how this could have taken place, this is what has annoyed him the most, he will get over it, it happens more than most know.
He hadn't done anything with the shell because I don't believe he really thought about it. He has alot of things going on.
