Here's my take from my post on the MCCY board:
MCCY retains the tech transportation rights, and PGYC gets the tech energy rights transferred to it. I won't pretend to understand the details, but someone is interested in buying one piece, whichever that may be, so that one gets sold off and the other remains with ECN. Somehow hopefully we get distributed to us shares of whichever is to be taken over on a pro rata basis as our holdings in the other, so that we can collect $x per share for the buyout of our shares, and we retain the shares of the one that doesn't get taken over.
