When the RS was announced, no one, including and especially the heavy hitters on this board, believed it would fly. Nelderand's survey indicated that shareholders were almost 100% opposed. The belief that the RS was dead in the water continued, along with trashing of the RS by contractor, ctb, and others, until "a little birdie" posted a change of heart some three weeks after the announcement. By then it was too late to sell without a big loss, and it was still not clear at that point if the RS would pass. In fact, it was not clear (to most shareholders anyway) even up to the deadline.

A majority of shareholders voted against the RS. Remove a small block of voters (aka "the group") from the tally, and the RS failed by a sizeable margin.
