Yes, that's how I understand this: NWOG pays $80 mln and combined entity becomes a part of "one of the vertically integrated companies". Other terms of the merger are not clear but it does sound like "hidden buyout" to me. Theoretically, any buyout is a merger when both sides are awarded by shares of new company, but one of the them also gets cash. IMO.
