SH, as your friend pointed out....

cheap PP's to Insiders only are likely to open a Huge Can of Worms that will taint Management and the Board...

The correct way is to give Options priced about 20% below market exercizing 2 or 3 years down the road, as it gives a strong incentive for management to perform and increase the share price for stockholders as well...
