"After having spent some time in academics and interacting with ph.ds out there - I can tell you Ph.Ds who are in research go thru what is the equivalent of mid-life crisis-they want to make money or step into the commercial side of career- the most obvious way to do it to get a patent and try to make something out it. there must be 1000 and 1000 of ph.ds in the US and other countries trying to do this.

Our Doc is no different - he is trying to do the same. But he doesnt have commercial or business experience so he is obviously working with some consultant ( I will venture to say its the same consultant who has advised USSE.) So he is going along with what the consultant is telling him in respect of moving things forward. I do not have comfortable feeling with the consultant - I think the consultant is the weak or dubious link. I am afraid no matter how noble the intentions of the Doc may be - he may find himself entangled in this web. Obviously someone advised him to go thru pinky route in terms of buying a shell company etc.

he could have taken his patent to some venture capital and get seed funding from there but no."

My reply:

"<<he could have taken his patent to some venture capital and get seed funding from there but no.>>

That route would've taken him through the same tangled web. He saved himself a buttload of money by NOT doing an IPO if he wanted to go public. The only problem I see is that the shell may not have been as clean as was originally thought. That said, maybe this is why he turned the USSE offer down -same consultant - as he thought the web would get even more tangled. He could've stayed private, but the VC would've raped him; they're like loan sharks. I know, I've dealt with them many times.

My take. He has 3 patents to his credit. He's somewhere finalizing the deal. If he is a credible man, he won't sacrifice his integrity, BECAUSE he is NOT about business. Whether or not you agree, IMO, there are still honest people out there that cannot stomach stepping on toes for the sake of the almighty dollar. If he has to pull out of the deal, to save his integrity, IMO he will do it. My money's on the doc..."
