Thank you for your email.

The 504 is a shelf filing and does not mean that it wil be used - it may not be used at all - people love to spectualte or assum and when you do you make an ass of you and me - right.

At this point in time all I can do is keep doing what we are doing and build the company and try and get the pps moving - I cannot fight 5,000 shareholders who don't believe - not going to try - just going to move forward and do what is best for the company.

I am back from Japan....the K-1 GP in Yokohama rocked! cant wait to see more fighting action on TFN (when it makes it to the US). I see that there was a lot of good PRs, its unfortunate that there hasnt been any movement in the PPS. My guess is, people are scared of how bad the dillution (resulting in R/S) is going to be once the Divy conversion is over.

Personally, I (and many others) have been sitting on the fence waiting to see what is going to happen before pulling any triggers on conversion, after today there may be alot of people that just lay the gun on the ground and walk away. The main cause of this , and the reason that your PRs are not helping, is due to the Form 504 filed in March. This has caused a lot of concern, since it shows even more dillution occuring.

I was hoping that maybe you could comment on it, or explain why we shouldnt be concerned.
