Remember the core thesis of the merger @KeplerOwnership% To make the 240 million shares originally issued to Kepler represent the mandated 89.7% economic ownership of the company, the total outstanding shares had to shrink via a reverse split. Instead, look at where the math sits today with 1.614 billion shares outstanding. If Kepler still holds its base 240,000,000 shares, their actual economic grip on the public entity has just shrunk from 18.2% down to 14.87% (240M div 1.614B). With 1.614 billion shares outstanding and a hard authorized ceiling of 1.8 billion shares, $Richard $Hawkins only has 185,965,637 shares of legal capacity left in the entire corporate treasury. Hawkins has trapped himself in a classic liquidity vise. He cannot issue the remaining minority Kepler holders their promised public equity because he physically doesn't have the authorized shares left to print. Yet, he hasn't executed the $required $reverse $split to clear out the room. Given that Day 90 has passed (since merger announced), the June 1st structural target previously referenced is dead while the share count is expanding rather than contracting, Kepler's financial backers will almost certainly leverage this delay to demand massive structural concessions. So, look for them to demand a restructuring of the Board (adding more independent or Kepler-controlled directors to marginalize Hawkins), or demanding that Hawkins issue them senior convertible preferred stock that bypasses the common stock bottleneck entirely and guarantees them an absolute, non-dilutable first-lien position on the company's intellectual property. The transfer agent's data doesn't lie. While the retail market is waiting for a 15c2-11 green light to start trading, the actual balance sheet is running out of oxygen. Hawkins didn't just miss a deadline the math shows he is actively losing control of the capital structure.
