Section 10(b) of the Exchange Act and Rule 10b-5 prohibit any act, practice, or course of business that operates as a fraud or deceit, or making any untrue statement of a material fact in connection with the purchase or sale of securities. It is & would be a violation as by Filing a Form 10 stating that the Kepler transaction results in ~89.7% ownership via 240,000,000 shares, while leaving the outstanding pre-split float at 1.316 billion which would mathematically dilute Kepler to a mere 15.4%), constitutes a material misrepresentation. Now the associated criminal code is (for the both comment above (2) Criminal Securities Fraud: 18 U.S.C. § 1348 If the no reverse split narrative were true, it would mean management induced retail investors to drive up dollar volume and buy shares based on a capital structure and a Nasdaq uplisting premise that they had no intention of executing. Exposing them to now criminal violations & this is where things turn carceral. A conviction under § 1348 carries a maximum penalty of 25 years in federal prison and significant criminal fines. (3) Section 32(a) makes it a criminal offense for any person to willfully and knowingly make, or cause to be made, any statement in an SEC filing that is false or misleading with respect to any material fact.
